These Terms of Service ("Terms") govern your access to and use of ShowroomOS ("Service," "Platform," "we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Acceptance of Terms
By creating an account or using ShowroomOS, you confirm that:
- You are at least 18 years old (or the age of majority in your jurisdiction)
- You have the authority to bind your organization (if applicable)
- You will comply with all applicable laws and regulations
- You have read and understood our Privacy Policy
2. Service Description
ShowroomOS provides a multi-tenant template management platform that enables Platform Owners to:
- Create, manage, and publish storefront templates
- Control template versions with governance features
- Assign templates to multiple tenants
- Allow tenants to customize content and branding within safe boundaries
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with notice.
3. Account Registration and Security
3.1 Account Creation
You must provide accurate, complete, and current information during registration. You are responsible for:
- Maintaining the confidentiality of your credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
3.2 Account Roles
- Platform Owner: Full access to create, edit, publish templates and manage tenants
- Tenant Admin: Limited access to customize assigned template content and branding
4. Subscription Plans and Billing
4.1 Free Preview Trial
We offer a 15-day Preview-only trial with limited features. No credit card required. Trial includes:
- Template gallery access and comparison
- Template Wizard and draft creation
- Validation and sandboxed previews
Excluded from trial: Publishing live templates, assigning templates to production tenants, scheduled/staged rollouts.
4.2 Paid Plans
- Starter: €79/month or $79/month, up to 5 tenants
- Pro: €249/month or $249/month, up to 50 tenants
- Enterprise: Custom pricing, 50+ tenants, contact sales
4.3 Payment Terms
- Subscriptions are billed monthly in advance
- Payments are non-refundable except as required by law
- We may change pricing with 30 days' notice
- Failure to pay may result in service suspension or termination
4.4 Cancellation
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No partial refunds for unused time.
5. Acceptable Use Policy
5.1 Prohibited Activities
You may not:
- Upload malicious code, scripts, or content designed to harm users or systems
- Attempt to bypass template validation or security controls
- Use the Service for illegal activities or to violate others' rights
- Reverse engineer, decompile, or disassemble the Service
- Resell or redistribute the Service without authorization
- Interfere with or disrupt the Service or servers
- Access other users' accounts or data without permission
- Scrape or harvest data from the Service using automated means
5.2 Template Content Restrictions
- No JavaScript uploads or inline event handlers (security validation enforced)
- No content that violates intellectual property rights
- No illegal, harmful, or offensive content
- No malware, phishing, or deceptive content
6. Intellectual Property
6.1 Your Content
You retain ownership of templates, customizations, and content you create. By using the Service, you grant us a license to:
- Store, process, and display your content to provide the Service
- Create backups and cache content for performance
- Use aggregated, anonymized data for analytics and improvements
6.2 Our Intellectual Property
ShowroomOS, including the platform software, UI, documentation, and branding, is owned by us and protected by copyright, trademark, and other laws. You may not copy, modify, or distribute our intellectual property without permission.
7. Data and Privacy
Your use of the Service is also governed by our Privacy Policy. Key points:

- We implement security measures to protect your data
- You are responsible for complying with data protection laws for your tenants' data
- We may anonymize and aggregate data for analytics
8. Service Level and Availability
8.1 Uptime
We strive for high availability but do not guarantee uninterrupted access. The Service is provided "as is" without warranties. Planned maintenance will be announced in advance when possible.
8.2 Support
- Starter: Email support (48-hour response time)
- Pro: Priority email support (24-hour response time)
- Enterprise: Dedicated support and SLA (custom)
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM
- WE ARE NOT LIABLE FOR DATA LOSS, SERVICE INTERRUPTIONS, OR THIRD-PARTY ACTIONS
10. Indemnification
You agree to indemnify and hold us harmless from claims, damages, and expenses (including legal fees) arising from:
- Your use or misuse of the Service
- Your content or templates
- Your violation of these Terms
- Your violation of third-party rights
11. Termination
11.1 By You
You may terminate your account at any time by canceling your subscription. Your data will be retained for 30 days after cancellation.
11.2 By Us
We may suspend or terminate your account if:
- You violate these Terms or Acceptable Use Policy
- Your account is inactive for 12 months
- Payment is overdue by 30+ days
- We discontinue the Service (with 60 days' notice)
12. Governing Law and Disputes
